Sr. Legal Counsel, Supply Management

This position will provide guidance, direction, and day-to-day legal support to internal stakeholders at Harley-Davidson, Inc. and its affiliates. On a broad level, the Senior Counsel, Supply Management role will focus on drafting, reviewing, negotiating, and analyzing the entire spectrum of complex commercial agreements; partnering with and advising internal stakeholders on contract terms, risk, negotiations and commercial strategy; supporting both direct and indirect procurement matters; managing commercial disputes and litigation; advising on select trade, customs, import/export and logistics compliance matters in coordination with relevant internal compliance functions; and providing practical, solutions-oriented legal advice that supports Harley-Davidson's business objectives while appropriately managing risk. This is an in-person role based in the Milwaukee/Wauwatosa area.

• Providing legal support to internal stakeholders, including Procurement, Supply Management, business functions, and other enterprise teams.
• Drafting, negotiating, revising and finalizing a broad spectrum of agreements, including supply, service, software, consulting, marketing, logistics, facilities, contingent labor, contract manufacturing, non-disclosure and other commercial agreements.
• Providing dedicated legal support for indirect procurement matters involving professional services, technology and software, marketing and media, logistics, facilities, contingent labor, and other enterprise goods and services.
• Partnering with key stakeholders on procurement sourcing strategy, requests for proposals, contract structure, pricing addenda, risk allocation, negotiation strategy, supplier performance issues, and exit strategies.
• Serving as a legal point person for urgent supply-base or vendor issues requiring prompt attention and practical guidance.
• Evaluating and managing commercial disputes and litigation relating to suppliers, vendors, service providers and logistics providers, including claims assessment, pre-litigation strategy, negotiations, settlement strategy, preservation and discovery support.
• Ensuring commercial arrangements comply with Company policies and applicable legal requirements.
• Reviewing, drafting and revising relevant templates, standard terms and conditions, playbooks, policies and training materials to support legal and business objectives.
• Providing practical, solutions-oriented legal advice that supports Harley-Davidson's operational goals, cost initiatives and business priorities while appropriately managing risk.
• Tracking relevant legal, regulatory and industry developments and making recommendations for continuous improvement and risk mitigation.
• Providing advice and support on select trade, customs, import/export and logistics compliance matters, including contractual allocation of compliance responsibilities, shipping and transportation terms, customs documentation and valuation issues, recordkeeping, and escalation of potential compliance concerns, in coordination with relevant internal compliance and subject-matter experts.
• Seeking continuous improvement opportunities within the scope of responsibility, including contract process efficiency, risk standardization, contract lifecycle management, and cross-functional collaboration.
• Provide training sessions to key stakeholders and fellow members of the legal department.
• Perform other related legal and administrative responsibilities as needed or requested.

• Bachelor's Degree and a Juris Doctorate from an accredited law school.
• Licensed to practice law in the United States and a member in good standing with a state bar.
• Admission to the State Bar of Wisconsin, or meeting the requirements to register as in-house counsel in Wisconsin and successfully completing such registration within 60 days after commencement of employment with Harley-Davidson.

Required

• Typically requires a minimum of ten (10) years of related legal experience in a law firm and corporate legal department.
• This position typically requires that a minimum of five (5) years of the related experience referenced above be at a corporate legal department of a product manufacturer, preferably in the automotive or powersports industry.
• Experience drafting and negotiating direct and indirect procurement, supply-base, and other commercial agreements of varied type and complexity.
• High level of integrity as well as organization, planning, and research skills.
• Excellent judgment, analytic skills, and ability to identify all relevant legal and business issues.
• Strong written and verbal communication skills, including good listening skills, and the ability to achieve positive outcomes through influence.
• Ability to manage multiple complex matters simultaneously in a dynamic and fast-paced work environment.
• Self-starter with the ability and desire to work independently with minimal supervision, prioritize work, and adjust to workload fluctuations.
• Ability to lead and/or work well in a team environment and build trusted relationships with internal and external stakeholders.
• Ability to respond to and provide sound legal advice for client needs consistent with corporate strategies and objectives, and appreciation and awareness of the legal/business interface.
• Ability to work in person in the Milwaukee/Wauwatosa area.
• Ability to travel up to 10%.

Preferred

• Experience working on commercial matters both at a large law firm and as in-house counsel.
• Experience advising stakeholders on procurement-related contracts, indirect procurement categories, and commercial disputes.
• Experience with contract lifecycle management tools, templates, or process-improvement initiatives.
• Experience in the automotive or powersports industry.
