The Legal Senior Specialist - Corporate Governance is a key member of the Corporate Secretary's Office and plays an integral role in supporting Baker Hughes' corporate governance framework and public company obligations. This role partners closely with the legal team, senior management, and business leaders to support the Board of Directors and its committees, manage core governance processes, and help ensure compliance with applicable laws, regulations, and governance best practices. By providing highquality governance support, coordination, and insight, this role contributes directly to effective Board oversight, investor confidence, and strong governance outcomes.

As a Legal Senior Specialist - Corporate Governance, you will be responsible for:

* Coordinating and preparing materials for meetings of the Board of Directors and its committees, including agendas, presentations, and supporting documentation.

* Collaborating closely with inhouse counsel, senior management, and business leaders to ensure timely, accurate, and highquality deliverables for Board and committee meetings.

* Supporting Board and committee meeting logistics, calendaring, followups, and action item tracking.

* Supporting and helping manage core corporate governance workstreams, including shareholder engagement activities, investor governance communications, and corporate governance outreach.

* Assisting with insider trading compliance administration and related governance processes.

* Supporting director compensation and equityrelated governance matters, including coordination with internal stakeholders and external service providers.

* Maintaining and enhancing corporate governance policies, guidelines, and procedures in alignment with evolving regulatory requirements and best practices.

* Monitoring governance trends, regulatory developments, and market expectations, and supporting implementation across the organization.

* Assisting with the preparation, coordination, and review of public company filings, including U.S. Securities and Exchange Commission (SEC) filings.

* Leading coordination with the Company's transfer agent across equity administration, shareholder records, and governance activities.

* Supporting disclosure controls and internal processes related to governance matters and maintaining accurate governance and regulatory records.

* Leading or participating in crossfunctional and longterm projects within the legal department and broader business, including process improvements and governance initiatives.

To be successful in this role you will:

* Have a bachelor's degree from an accredited fouryear college or university.

* Have experience working in a corporate or large organizational environment; experience within a legal department or in a paralegaltype role is preferred.

* Have exposure to corporate governance, public company processes, or regulated environments.

* Demonstrate a strong interest in and enthusiasm for corporate governance and public company operations.

* Have excellent written and verbal communication skills, with the ability to communicate clearly and professionally with senior leaders and diverse stakeholders.

* Have strong organizational, planning, and execution capabilities, with the ability to manage multiple priorities and deadlines.

* Have strong analytical skills and sound judgment, with the ability to evaluate complex issues and develop practical solutions.

* Demonstrate a high level of attention to detail and a commitment to confidentiality and accuracy.

* Have strong interpersonal skills and the ability to collaborate effectively across functions.

* Have strong proficiency in Microsoft 365 applications, including Excel, PowerPoint, Word, Outlook, and Copilot, and be comfortable working in a technologyenabled, fastpaced environment.
