Davis Wright Tremaine LLP is seeking an experienced mid-level technology transactions attorney for engagement through the firm's alternative-track attorney and staffing program, DWTSurge. The selected attorney will work part-time with the Technology, Communications, Privacy & Security practice group handling technology procurement agreements for an institutional client. Attorneys must be barred in the state where they reside and in a state where DWT maintains an office. While the selected attorney may work remotely, maintaining West Coast business hours is expected.

The selected attorney will support the firm's marquee client with drafting and negotiating inbound professional service agreements, software licenses, SaaS contracts, and other technology service-related agreements. The selected attorney will be expected to follow client playbooks and confidently negotiate based on the client's preferred best practices. Candidates should be prepared to complete a short objective skills test as part of the interview process for this opportunity.

Candidates with extensive experience drafting and negotiating technology or commercial agreements are encouraged to apply. This role is client facing and requires a high-level of commitment to excellent client service. Attorneys should be able to work independently and exercise good judgement, but should also collaborate easily with various business stakeholders, other lawyers, and support staff to meet objectives within short deadlines.

This position offers the flexibility of part-time remote work and an anticipated 15-25 hours of work per week. Hours may fluctuate depending on the availability of appropriate work and a minimum number of hours per week is not guaranteed. The engagement is for an initial 6-month contract term, but we anticipate the work to remain relatively steady and there is a high possibility of renewal for successful candidates; although any extension or renewal is not guaranteed. Successful candidates may also have the opportunity to support more complex matters for this workstream and their anticipated hours of work may increase. We are looking for attorneys interested in establishing a long-term working relationship with DWT on an exclusive basis.

The ideal candidate will have:

  • 5+ years of transactional legal experience, with a focus on technology or commercial transactions, at a mid-sized or large law firm and/or with large institutional clients.
  • Residency and active bar admission in one of the following states: AK, AZ, CA, CO, CT, FL, GA, IL, MD, MN, MT, NJ, NM, NY, OH, OR, PA*, TN, TX, VA, WA, WDC, or WV, and active bar admission in a state where DWT maintains an office. *jurisdiction-specific
  • Excellent contract drafting and negotiation skills and demonstrated experience managing a high volume of contract transactions independently.
  • Experience with buyer-side/procurer-side transactions.
  • Strong interest in supporting a large technology client as a dedicated resource by providing a high-level of responsiveness and client service.
  • Ability to follow client playbooks and an understanding of client's preferred contract administration best practices.
  • Availability to work remotely and for part-time PST hours, 15-25 hours per week.
  • Flexibility for anticipated hours to fluctuate as needed.
  • Excellent writing skills, strong attention to detail, and ability to produce high quality work product with minimal supervision and direction.
  • Excellent proactive communication and interpersonal skills, including the ability to maintain effective working relationships and communicate verbally and in writing, with clients, firm members, and other business contacts.

Please note that this is a temporary contract position managed by DWT's flexible attorney program, DWTSurge. Compensation will be paid on an hourly basis, commensurate with experience and skill level (see below). This role is not benefitted. Salary Range
The hourly range for this position in CA, IL, MD, MN, NY, OR, WA, and WDC is $100 to $120 per hour. Actual pay will be adjusted based on experience and other job-related factors permitted by law.
