Job Summary

The senior counsel position will report to Corewell Health VP & Deputy General Counsel and work closely with other senior legal leaders, including Corewell Health's Chief Legal Officer, Corewell Health's SVP & General Counsel and Priority Health's SVP & General Counsel, and will provide key legal and strategic advice and support on complex and routine corporate matters and transactions involving the enterprise, care delivery system, and health plan.

Essential Functions

  • Serve as the primary strategic and legal advisor to senior leaders on a wide range of complex corporate transactions, including transaction design, negotiation, drafting documents and implementation. This will include, but is not limited to, mergers, acquisitions, divestitures, joint ventures, strategic affiliations, clinical integration arrangements, and provider or health plan transactions.
  • Apply understanding of health system and/or health plan operations to deliver actionable, practical, business-focused legal advice when advising on transaction structure, regulatory considerations, risk allocation, and alignment with organizational strategy.
  • Lead and manage all phases of transactional workstreams, including due diligence oversight, FMV assessments, drafting definitive agreements, and coordination of internal and external teams, including management of transaction timelines, milestone tracking, and closing processes.
  • Draft, review, and negotiate core acquisition and combination agreements, including asset purchase agreements, stock purchase agreements, membership interest purchase agreements, merger/contribution agreements, governance documents, joint venture agreements, letters of intent, confidentiality agreements, and ancillary documents to ensure documents reflect business objectives and regulatory compliance.
  • Communicate complex legal concepts in a clear and concise manner to non-legal business and senior leaders.
  • Establish and maintain collaborative working relationships with, and as needed provide mentorship, direction, and guidance to, fellow attorneys, legal specialists, and other team members in the Corewell Health and Priority Health legal departments.
  • Foster and maintain relationships with and provide cost-effective use and oversight of external legal counsel, consultants, and advisors.

Qualifications

Required

  • Doctorate from an ABA accredited law school
  • 7 years of relevant experience M&A, corporate healthcare transactions experience, demonstrated ability to lead large-scale transactions - combination of private practice and in house

Preferred

  • 5 years of relevant knowledge of and ability to provide legal guidance on healthcare laws such as Stark Law, AKS, HIPAA, Medicare/Medicaid, antitrust, tax, nonprofit requirements, health insurance requirements, and state regulatory frameworks.
  • 5 years of relevant experience in leading legal professionals and non-legal team members and business/operational leaders through transactions.
  • 3 years of relevant experience in healthcare industry serving healthcare or health plan clients.
