Position Overview:

We are seeking an experienced Tech Advisory Consulting Senior Manager to help lead and expand our IT Due Diligence (ITDD) services for private equity and corporate clients. This role owns IT diligence engagements end-to-end - leading execution, interfacing directly with PE and Strategic buyers and target management and ensuring diligence outputs drive real decisions across the transaction lifecycle.

The Senior Manager will serve as a trusted advisor to investors and executive leadership, providing clear, actionable insights on IT risk, value creation opportunities, and post-transaction execution. In addition to leading complex engagements, this role plays a critical part in practice leadership, client development, and team mentorship, playing a key role in shaping how our diligence offering operates and evolves.

This role is ideal for an experienced leader with deep experience assessing technology environments in the context of acquisitions, investments, and strategic transactions.

Core Service Focus: IT Due Diligence

As a leader in IT Due Diligence, the Senior Manager will:

  • Lead end-to-end IT Due Diligence engagements for private equity firms and strategic buyers evaluating target companies. This includes owning scoping, execution, synthesis, client communication, and final deliverables
  • Serve as the primary day-to-day client lead for PE deal teams, operating partners, and corporate buyers
  • Interface confidently with target C-Suite, IT leaders, and functional owners
  • Assess the current-state IT environment and its ability to support growth, scalability, and value creation post-transaction
  • Drive structured assessments across:
    • Business applications & ERP landscape
    • Infrastructure
    • Cybersecurity and IT risk posture
    • Data & integration readiness
    • IT organization, spend, and governance
  • Identify deal risks, red flags, value-creation opportunities and integration considerations, and clearly articulate findings to investment teams and executive stakeholders
  • Ensure diligence conclusions support deal theses, integration planning, and post-close roadmaps and execution recommendations

Additional Service Offerings:

While primarily focused on IT Due Diligence, the role may also oversee and contribute to:

  • IT Strategy & Roadmaps - Defining multi-year IT strategies aligned to business objectives and investment theses
  • IT M&A Integrations - Leading IT integration strategy and execution across systems, infrastructure, and teams
  • IT System Selection - Guiding ERP and enterprise system evaluations and vendor selections
  • IT PMO / Office of the CIO - Providing interim leadership and oversight for critical IT initiatives

Key Responsibilities:

Client Leadership & Advisory:

  • Act as a primary client relationship owner for IT Due Diligence and tech advisory engagements
  • Serve as a trusted advisor to private equity partners, deal teams, and portfolio company executives
  • Lead executive-level presentations, investment committee discussions, and diligence readouts
  • Partner with deal teams to align IT insights to valuation, TSA planning, and integration or post-close strategy

Engagement Delivery:

  • Lead multiple concurrent IT Due Diligence engagements, ensuring high-quality, consistent, and timely delivery
  • Oversee engagement planning, staffing, budgets, and risk management
  • Translate complex technical findings into clear, business-focused insights
  • Strong judgment: know what matters vs. what's noise in diligence
  • Comfortable navigating ambiguity and tight deal timelines

Practice & Business Development:

  • Support business development efforts, including proposal development, client pursuits, and thought leadership
  • Help evolve and standardize IT diligence approach, tools, and templates
  • Improve consistency, speed, and quality across diligence engagements
  • Identify patterns across deals and help evolve best practices
  • Contribute to downstream sales and positioning of post-close efforts

Team Leadership & Mentorship:

  • Lead, coach, and mentor Managers and Consultants across engagements
  • Provide performance feedback, career development guidance, and technical leadership
  • Ensure teams deliver work that is polished, accurate, and client-ready
  • Foster a collaborative, high-performance consulting culture

Qualifications:

  • Bachelor's degree in Information Technology, Computer Science, Business Administration, or related field
  • MBA or relevant advanced degree preferred
  • 8-12+ years of experience in technology consulting, transaction advisory, or IT Diligence with strong M&A exposure
  • Direct experience leading IT Due Diligence and M&A-related technology engagements for private equity or corporate M&A clients
  • Strong understanding of:
    • Enterprise applications and ERP platforms
    • Modern infrastructure and cloud environments
    • Cybersecurity risk in transaction contexts
    • IT cost structures and operating models
  • Comfortable operating across multiple industries; experience with mid-market environments preferred
  • Experience in AI strategy, assessment, and developing and using AI-based tools is strongly preferred
  • Exceptional executive communication, presentation, and stakeholder management skills
  • Demonstrated ability to lead teams, manage client relationships, and drive business growth
  • Relevant certifications (PMP, ITIL, COBIT, CISA, etc.) are a plus

Work Environment:

  • Hybrid or Remote work arrangement
  • 25-50% travel depending on client needs

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Crowe, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $143,300.00 - $313,400.00 per year.
