Title: Commercial Counsel
Location: Clayton, MO
Salary: $210,000 to $245,000
Schedule: Onsite, Monday through Friday, up to 20% or more domestic travel if needed

Focus: The Commercial Counsel position will provide legal support to Olin's Winchester business. The position will provide legal counsel on a range of commercial matters with a focus on work supporting the procurement and marketing teams within the Winchester division, including the Lake City Army Ammunition Plant. This attorney will also provide ongoing support to other operational units and address various other matters and special projects, based on the candidate's background and the needs of Winchester's business and operations.
Commercial Counsel Essential Functions:
- Works closely with the VP and General Counsel - Winchester, as well as the sales, marketing, government programs, and supply chain teams, to facilitate the achievement of business goals and objectives.
- Provides legal advice to members of the company's commercial and operations teams on legal issues associated with the Winchester business.
- Drafts, negotiates, and reviews various commercial and business contracts for the Winchester division, including:
- Sales Agreements
- Distribution Agreements
- Purchasing Agreements
- Confidentiality Agreements
- Services Agreements
- Consulting Agreements
- Licensing Agreements
- Logistics Agreements
- Transportation Agreements
- Reviews and negotiates contracts with various government agencies and departments.
- Advises the Government Programs group on government contract matters.
- Ensures compliance with current contract policies and procedures and identifies areas for improvement.
- Assists in resolving customer issues.
- Educates and provides counsel to Winchester's commercial teams on compliance, risk management, and legal issues relating to the Winchester business.
- Interprets laws, rulings, and regulations and determines how they apply to Winchester for domestic and international operations.
- Develops and updates contract templates and policies.
- Reviews company policies and programs for legal risk and recommends updates and revisions.
- Collaborates with other legal team members to ensure consistent quality of services and the exchange of best practices between the Winchester division and the rest of Olin, including the CAPV and Epoxy divisions.
Counsel Position Requirements:
- JD/LLM* from an American Bar Association (ABA) accredited law school.
- Minimum 7 years relevant legal experience with a major law firm and/or working in-house at a corporation.
- Licensed to practice law in at least one state.
- Strong commercial and business law background, preferably involving the ammunition and/or manufacturing industry.
- Experience in government contracting is a plus.
- Professional demeanor and ability to interface with all levels of the organization and outside law firms.
- Self-motivated and capable of proactively identifying issues and devising solutions that strike an effective balance between cost and return/risk and benefit, as well as long and short-term business and legal considerations.
- Ability to provide prompt, practical, and actionable legal advice.
- Team orientation, legal technology savvy, and bias towards action.
- Works well under pressure, effectively handling conflict, and demonstrates flexibility in work style to accommodate changing priorities.
- A focus on continuous improvement without losing sight of client demands.
- Proactively manage external counsel to maximize quality while controlling costs.
- Superior organizational, communication (written and verbal), interpersonal, negotiation, presentation, problem-solving, project management, and exercise sound judgment decision-making skills.
- Demonstrated ability to manage high-volume workload, meet time-sensitive demands, work independently, share knowledge across other departments and within the Olin Department, and willingness to be collaborative and support team efforts.
- Willingness and ability to travel domestically up to 20% or more if needed.
Location-Specific Requirements:
- This position requires successful vetting as an Employee Possessor in accordance with U.S. Department of Justice and the Bureau of Alcohol, Tobacco, Firearms and Explosives.
- This position requires access to ITAR controlled technical data, and as such, employment will be contingent upon the candidate's ability to access ITAR controlled technical data pursuant to an export license approved by the Directorate of Defense Trade Controls, if required.
