Novanta seeks a Manager of Corporate Development to lead select phases of M&A transactions with limited oversight. This high-visibility role involves evaluating the strategic and financial attractiveness of M&A opportunities, building valuation models, refining acquisition strategies, coordinating cross-functional due diligence teams, highlighting business risks, co-managing relationships with sellers/founders, outlining transaction agreements, and assisting with the transition to integration teams. The Manager will collaborate with Novanta's Corporate Development leaders, C-Suite, and other key stakeholders to shape Novanta's corporate strategy, and perform rigorous financial analysis and industry research. Additionally, the Manager will assemble materials for Novanta's Board of Directors and investor community. Perform due diligence, including financial analysis and risk assessments for proposed transactions.

This is a hybrid role located in New York City, New York.

Primary Responsibilities:

  • Identify, cultivate, diligence, value, structure, and support ongoing deal negotiations across Novanta's platforms.
  • Build and own financial models to value target opportunities and guide decision-making among senior business leaders and the Corporate Development team.
  • Monitor competitive landscapes to identify and prioritize opportunities, including tracking public companies and working with investment bankers and other sources of deal opportunities.
  • Maintain a deal funnel of transaction opportunities to support business growth across all of Novanta's business segments.
  • Quarterback the confirmatory due diligence process and facilitate communication between internal stakeholders and target company management teams.
  • Ensure effective implementation of post-closing deal terms and hand-off to integration teams.

Required Experience, Education, Skills and Competencies:

  • 2-5 years of M&A deal experience in investment banking or private equity
  • Bachelor's degree required; MBA and/or CFA preferred.
  • Fluency with Excel, extensive financial modeling experience, high quantitative/analytical skills.
  • Intellectual curiosity, self-starting mindset, and a strong work ethic.
  • Strong listening and comprehension skills to quickly understand unfamiliar businesses and transaction concepts.
  • Clear communication skills and ability to concisely distill complex subjects into actionable decision frames.
  • Work experience in a second discipline strongly preferred (e.g., buy-side financial diligence, valuations, accounting/finance, management consulting).
  • Exposure to international deals, venture capital deals, or continuous improvement cultures preferred.
  • Strong judgment to form independent points of view on risks and opportunities.
  • Credibility, integrity, and trustworthiness in highly confidential situations.
  • Demonstrated ability to interact with internal and external stakeholders across multiple levels.
  • Exemplified humility in leading cross-functional teams to difficult goals with a collaborative and non-bureaucratic approach.
  • Capability to address commercial, financial risk, and legal issues and familiarity with tactical and strategic scenarios.
  • Proficient at prioritizing effectively in real-time, multi-tasking on several projects, and maintaining strong organizational skills.
  • Familiarity with typical economic and legal deal terms and alternative approaches to risk allocation.
  • Ability to participate in spirited give-and-take discussions about his/her work and willingness to pursue ongoing professional development.
  • Strong focus on shareholder value - understanding the linkage between personal success and corporate value creation.

Travel Requirements:

  • Travel may be required within the US and to Europe and Asia. Less than 30%.

Physical Requirements:

  • Mobility to work in a standard office setting and to use standard office equipment, including a computer.

  • Ability to use vision to read computer screen and read printed materials
