Reporting to the VP & Deputy General Counsel, the Sr. Manager, Compliance and Commercial will be responsible for managing and enhancing Excelitas' global Ethics & Compliance program. This role involves building training and awareness campaigns, monitoring laws, and creating or revising policies and procedures. The role will also oversee the Ethics & Compliance Helpline and investigation processes, ensuring that concerns are assigned, investigated, and documented consistently and properly. Additionally, the Sr. Manager, Compliance and Commercial will manage and drive resolution of commercial and employment-related claims and assist internal counsel with management of litigation. Main responsibilities:
- Manage and enhance the global Ethics & Compliance program, including as related to the Excelitas Code of Conduct, global anti-corruption and anti-bribery program, and third-party due diligence;
- Drive employee engagement and awareness campaigns, including assisting with the development and delivery of training on a broad range of Ethics & Compliance risk topics;
- Manage the Ethics & Compliance investigation program, including overseeing the Helpline, triaging reports and inquiries, conducting or directing investigations, and managing the case management database; collaborate with Human Resources, Internal Audit, Legal, and other subject matter experts to ensure concerns are assigned, investigated, and documented consistently and properly;
- Monitor relevant laws and regulations, and update company policies and procedures as necessary;
- Conduct and/or assist in compliance risk assessments;
- Manage claims prior to litigation, including both commercial claims with customers or vendors and employment related claims or disputes;
- Support internal counsel with management of litigation, including liaising with external litigation counsel and assisting with e-discovery, fact-finding and analysis;
- May assist with review, drafting and negotiation of commercial contracts with key customers or vendors.
Requirements:
- Bachelor's degree required; advanced degree (e.g., JD, MBA) or relevant certifications (e.g., CCEP, CFE) preferred;
- Minimum of 12 years of experience in Commercial matters (both contracting and claims management), with significant Ethics & Compliance experience, preferably in a global organization;
- Experience handling Ethics & Compliance investigations and supporting the development of relevant policies and processes;
- Experience in managing pre-litigation claims and assisting outside counsel with litigation matters;
- Ability to thrive in a collaborative team environment while working independently to achieve program goals in close coordination with functions within the organization;
- Excellent analytical capabilities, as demonstrated by strong written, oral and presentation skills;
- Strong project management experience and organizational skills;
- Continuous improvement mind-set and disposition is critical.
